I have been with the same company for over 20 years and have recently been headhunted by a rival company due to my knowledge in this area.
I may not yet get the job but my question is, as they found and contacted me thru work via an agency should I keep this quiet or is this of no legal significance if i decide to leave?

Its of no significance. Recruitment agencies do this sort of thing all the time. The agency takes a cut in the event that the organisation commissioning them decides to recruit you. That's all they do - the job will be an employment contract with the rival.
Good luck.
My advice?? Unless the present company asks questions about whether you have been approached by this rival company, I would keep it to myself. If you do not get the job, your present company may pass you up for any future promotions knowing you may jump ship if a better offer comes along. Disloyalty and all that. And if you do get a better offer you are entitled to make the decision yourself giving your company ample tyme to replace you. Good luck.
