If a contract is "headed without prejudice & and subject to contract " but not signed, is it valid ?

If you have a document titled named DRAFT and displaying the Header "Without Prejudice & Subject to Contract" which is a work in progress because it rely s on certain terms being carried out in the future, valid as a final contract ?

No, it isn't a contract.
