Will I need to buy a new XP Licence.

Have recently upgraded and replaced my wired network, ISP, new router, quicker broadband etc...everything is working fine.
My system is a Fujitsu Siemens which I would like to keep...
Once in a while if I have a problem I just wipe the drive, and re-install XP using the recovery disks that came with the system when new.
Now I was wondering if I were to replace my motherboard, processor and memory.
Would the recovery disks still work with a new motherboard, or would I need to buy a new XP licence.

The recovery disks won't be suitable as they will include all the drivers for your existing hardware. It's also likely that the license is tied to your hardware as well.
Essentially you are going to replace the computer. If it were me, I'd just buy a copy of Win 7.
