A quick look at the spec for your laptop suggests it has the capability to run XP.
If you do decide to upgrade – make sure you back up all important data, otherwise expect to loose it.
Personally, if you have enough hard disk space, I would partition the drive and have both operating systems on the laptop. That way, if certain critical applications/peripherals don’t work on XP, you can easily revert to 98.

what specs are the laptop?
If it's still the same spec as it was new XP will run like a pig on it!
Even if it's been upgraded to it's limits its going to be very slow unless you are really careful about setting XP up with it's most basic settings and really careful to keep it as a "clean install" afterwards. I'd also be very careful about what anti virus you put on it, a lot of the larger names are very resource intensive and will virtually kill that lappy!
